Terms of Service

1. Agreement

These Terms of Service ("Terms") govern access to and use of the Prospura Service Intelligence Engine and related websites and services (the "Service") provided by Prospura ("Prospura," "we," "us"). By using the Service, or by signing an order form or pilot agreement that references these Terms, you agree to them on behalf of your business ("Customer," "you").

2. The Service

Prospura is a business operating engine: it connects to systems you already run through read-only access, syncs operational data into your isolated workspace, and produces insights, alerts, drafts, and recommendations. Prospura does not modify records in your connected systems.

3. Your account and workspace

• You are responsible for the accuracy of information you provide and for maintaining the confidentiality of your login credentials.
• You represent that you are authorized to connect each source you connect and to grant Prospura read-only access to its data.
• Each workspace is isolated per customer; you may not attempt to access another customer's workspace or data.

4. Customer data

• Ownership. Your data remains yours. Prospura receives only the limited license needed to operate the Service for your workspace.
• Security. Credentials and data at rest are encrypted with AES-256; data in transit is encrypted with TLS.
• Disconnect and purge. You may disconnect any source at any time and request purge of every record synced from it, and you may request export or erasure of personal data as described in our Privacy Policy.

5. Acceptable use

• No reselling, sublicensing, or providing the Service to third parties without our written agreement.
• No reverse engineering, scraping, or probing the Service's security.
• No use of the Service to violate law or third-party rights, or to connect systems you are not authorized to connect.

6. Insights are decision support

The Service produces analysis, forecasts, and drafts to support your decisions. Outputs may be incomplete or inaccurate, and they are not financial, legal, tax, or investment advice. You are responsible for reviewing outputs before acting on them or sending them to customers.

7. Fees and pilots

Fees, pilot terms, and service levels are set out in the applicable order form or pilot agreement. If a pilot is provided at no charge, it is provided "as is" for evaluation and may be modified or discontinued at any time.

8. Term and termination

Either party may terminate as described in the applicable order form, or, for free evaluation use, at any time. On termination, we will delete or return workspace data on request, subject to legal retention obligations.

9. Disclaimers and limitation of liability

Except as expressly stated in an order form, the Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Prospura's aggregate liability arising out of the Service is limited to the fees paid by you for the Service in the twelve months preceding the claim, and neither party is liable for indirect, incidental, or consequential damages.

10. Changes

We may update these Terms from time to time. Material changes will be posted on this page with a new "last updated" date; continued use after changes take effect constitutes acceptance.

11. Governing law and contact

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws rules.
